These Terms of Use (the “Terms”) are a legal agreement between you and Mint Shelf, Inc. (“Mint Shelf,” “we,” “us,” or “our”). They govern your access to and use of mintshelf.com and any related sites, apps, emails, or services that link to these Terms (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are and what we do
Mint Shelf operates a marketplace platform where independent, vetted third‑party sellers (and, in the future, select retailers) may list products for sale. We do not own or control the products listed by sellers. Unless we say otherwise, purchases are made from the applicable seller, not from Mint Shelf. During pre‑launch, parts of the Services are informational only (e.g., waitlist and marketing pages) and do not offer products for sale.
2. Eligibility and accounts
- You must be at least 18 years old (or the age of majority in your location) to use the Services.
- You are responsible for your account credentials and for all activity under your account. Keep your credentials secure and notify us promptly of any suspected compromise.
3. Pre‑launch waitlist
You may submit your email to join our waitlist. By joining, you consent to receive communications about Mint Shelf, including product updates and launch information. Participation in any referral or queue‑position programs is subject to the then‑current program rules, which we may change or discontinue at any time.
4. Marketplace role; sellers; listings
- Sellers are independent businesses. They are responsible for their listings, product descriptions, pricing, taxes, compliance, fulfillment, and customer service for their sales.
- We may vet sellers and set baseline requirements, but we do not guarantee any seller, listing, inventory, price, condition, or shipping timeline.
- Product images and descriptions are provided by sellers or their sources and may not perfectly reflect the delivered item. Always read the listing details, including condition notes (e.g., mint, open‑box, gently used), before purchasing.
5. Pricing, payments, and taxes
- Prices are set by sellers and may change. Any reference to savings (for example, “a fraction of the cost”) is illustrative and not a guarantee of specific discounts.
- Payments may be processed by third‑party payment processors. We do not store full payment card numbers. Your use of a processor is subject to its terms and privacy policy.
- You are responsible for any applicable taxes, duties, or fees unless the seller states otherwise.
6. Shipping, pickup, and risk of loss
Sellers determine available shipping and/or local pickup options and timelines. Risk of loss passes to you upon delivery (or pickup) as specified by the seller’s terms. Any delivery dates shown are estimates.
7. Returns, refunds, and disputes
Return, refund, and warranty policies are set by the seller unless a listing or the Services state otherwise. Contact the seller first for order issues. If the seller does not resolve an issue that violates our policies, contact us at hello@mintshelf.com and we may (but are not obligated to) assist.
8. Acceptable use
You agree not to do any of the following:
- Violate any laws or regulations, or the rights of others.
- Post, list, or sell counterfeit, stolen, unsafe, or illegal items; or items you are not authorized to sell.
- Interfere with the operation of the Services (e.g., introducing malware, scraping without permission, overloading infrastructure, or bypassing access controls).
- Impersonate any person or entity, or misrepresent your affiliation.
- Collect or harvest information about others except as needed to complete a transaction and in compliance with applicable law.
9. Your content and license to us
If you submit reviews, photos, listings, messages, or other content (“User Content”), you retain your rights in that content. You grant Mint Shelf a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, modify for formatting, publish, display, and distribute your User Content in connection with operating and improving the Services. You represent that you have all rights needed to grant this license and that your User Content does not infringe others’ rights or violate law. We may remove or refuse any content at our discretion.
10. Intellectual property
The Services, including text, graphics, logos, and software, are owned by Mint Shelf or our licensors and are protected by intellectual‑property laws. Except as permitted by law or as we expressly allow, you may not copy, distribute, modify, or create derivative works from the Services. Trademarks and logos used on the Services are the property of their respective owners.
11. Third‑party services
The Services may link to or integrate with third‑party sites, services, or tools. Those third parties are not under our control, and their terms and privacy policies govern your use of them.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES (AND ANY CONTENT OR FEATURES) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT DESCRIPTIONS OR PRICING ARE ACCURATE, RELIABLE, OR COMPLETE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINT SHELF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, THE TOTAL AGGREGATE LIABILITY OF MINT SHELF FOR ALL CLAIMS RELATING TO THE SERVICES WILL BE LIMITED TO THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID (IF ANY) TO MINT SHELF FOR ACCESS TO THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow certain limitations; in those cases, the above limitations apply to the fullest extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Mint Shelf and our officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Services.
15. Dispute resolution; arbitration; class‑action waiver
You and Mint Shelf agree to resolve any disputes arising out of or relating to these Terms or the Services through binding individual arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, unless you opt out as described below. Arbitration will take place in Austin, Texas, or by video/phone if available, and the arbitrator’s decision may be enforced in any court with jurisdiction. You and Mint Shelf waive any right to a jury trial.
Class‑action waiver: You and Mint Shelf may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
Opt‑out: You may opt out of arbitration by emailing hello@mintshelf.com within 30 days of first accepting these Terms, stating your name, the email associated with your account (if any), and your request to opt out. If you opt out, or if arbitration is found unenforceable, disputes will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction and venue.
16. Governing law
These Terms are governed by the laws of the State of Texas and the United States, without regard to conflict‑of‑law principles.
17. Changes to the Services or Terms
We may update the Services and these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Last updated” date above. Your continued use of the Services after the new Terms take effect constitutes acceptance.
18. Termination
We may suspend or terminate your access to the Services at any time, including if you violate these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination will survive (for example, intellectual property, disclaimers, limitations of liability, dispute resolution, and governing law).
